The individuals who fulfill the basic-eligibility criteria below may apply for the following position:Rank: First Assistant Vice President (FAVP) to Senior Vice President (SVP).Location: Head Office, Dhaka, Bangladesh.Major Responsibilities of Deputy Company SecretaryHere are some of the critical responsibilities outlined for this position:Compliance of Terms of Reference (ToRs) of the Board Committees.Behavior across the company by following ethical codes and anti-corruption rules.To ensure compliance with the applicable Codes of Corporate Governance for Public Sector and listed companies and advise the authority on governance of the best practices with regulatory obligations.Assisting to facilitate improvements in Bank`s Corporate Governance and keeping the Board abreast of changes in legal infrastructure, internal policies, and procedures of the Bank.Coordination for issuance of notices & circulation of agenda for the board meetings to the members well in time, as per approval of the Chairperson.Assist in arranging meetings of the Board of Directors, Sub-Committees (i.e. EC, ACB, BRMC etc.), and other meetings upon the CEO`s consent, if required.Assist in conducting statutory meetings i.e., Annual General Meeting (AGM)/Extraordinary General Meeting (EGM) and Board Committees within the statutory timelines.Preparing statutory reports, maintain registers and ensure compliance with legal requirements.Assisting to ensure efficient, timely recording, dissemination of minutes of meetings accordingly.Serving to prepare Agenda Books, Memos, Minutes of Board meetings, and extracts for Management, as needed ensuring compliance with all regulatory requirements and completion of necessary corporate filings.Coordinate to ensure submission of the minute`s copies to the regulator (Bangladesh Bank) as per its directives Assisting to.Execution of the Board of Directors` decisions through follow-ups and collect status updates and periodic reports as mandated by the Board.Assisting in seeking approval from the Directors on urgent matters via circulation of relevant proposals.Coordination to ensure compliance with the regulatory listing/filing requirements from Bangladesh Bank / Bangladesh Security Exchange Commission (BSEC), Stock Exchanges, and RJSC etc.Accountable for responding to the Bangladesh Bank/BSEC and or other regulatory queries as and when required by obtaining formal approval and records.To work in close coordination with all the groups/divisions/departments/units for submission of their agendas for recommendation of sub-committees and approval of the Board of Directors.Assisting in managing the share's registrar for AGM/EGM.Serving to deal in corporate matters of subsidiaries of the Bank including maintain profiles/files of the Board of Directors, Directors, Managing Director & CEO.Assisting to ensure that bank's website is updated from time to time with the related information.To perform any other duties assigned by the competent authority.Stay updated on laws, regulations, and official guidelines, advising the Board/Management and accordingly inform Board Members of their duties, responsibilities, and regulatory obligations.Helping to the focal point for regulatory bodies, auditors, and legal advisors.Stay updated on governance trends and enhance professional expertise, Identify and implement improvements in corporate secretarial functions.Serving to keep important company records up to date, including lists of shareholders and directors. Managing meetings with shareholders and helping them exercise their rights. Also oversees things like share transfers, dividend payments, and other shareholder matters.Assisting with the functions of IPO application process and coordinating with all relevant stakeholders.Education Requirements:
  • Master of Business Studies (MBS) in Accounting
  • Master of Business Studies (MBS) in Finance
  • Master of Business Studies (MBS) in Economics
  • Master of Business Studies (MBS) in Management
  • Master of Business Administration (MBA)
Master's degree (or equivalent) from reputed public university or UGC-approved/recognized private university in:AccountingFinance or EconomicsBusiness AdministrationMarketing or Management etc. required for the role.Chartered Secretary (CS) qualified candidates/MBA form IBA or postgraduate degree/diploma on relevant industry skill-based certification(s) are also highly appreciated for advancing their career.No 3rd Division/class in any academic record is allowed.Experience:
  • At least 12 years
  • The applicants should have experience in the following business area(s): Banks
Additional Job Requirements:
  • Age At most 55 years
Age Limit: Maximum 55 years as on 30.09.2025Skills and ExpertiseRobust organizational and administrative skills.High level of integrity, confidentiality, and diligence.Excellent presentation, analytical and drafting ability.Effective communication, analytical and decision-making skills.In depth understanding of public sector organization`s work culture.Proficiency in drafting board resolutions, reports, and regulatory submissions.Extensive knowledge of corporate laws, banking regulations and governance practices.Excellent communication, planning & organizing, decision making and critical thinking skills.Highest level of professionalism and willingness to work under pressure to meet strict deadlines.Hallmark of professionalism with sensitive information, strategic discussions, and confidential matters.Strong understanding of Bank Company Act, Banking Laws, and the functions of Company Affairs & Board Secretariate.Comprehensive knowledge of Corporate Governance, Legal Framework, Financial Statements and Regulatory requirements like regulations of Bangladesh Bank/BSEC, Stock Exchanges, and RJSC etc.Minimum 12 years of work experience in Banking and or financial sector and or multinational and or large sized corporate organization with at least 3 years as secretarial job under Company Affairs, Board Secretariate or Share Division.Compensation & Other Benefits:Financial Benefits: Negotiable/Competitive package based on qualifications and experience.
